Terms of Service

By accessing or using QuotaPartner, the websites, applications, APIs, or related services provided by OmniVentis Systems ("OmniVentis," "we," "our," or "us"), you agree to be bound by these Terms of Service. QuotaPartner is an AI-powered business operating system designed to help organizations manage customer relationships, communications, workflow automation, business intelligence, and operational processes. You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

You retain ownership of the information, documents, communications, and business records that you upload or create within QuotaPartner. By using the platform, you grant OmniVentis Systems a limited license to process, store, transmit, and display your information solely for the purpose of providing the services you request, maintaining platform functionality, improving service reliability, protecting platform security, and complying with applicable legal obligations. We do not claim ownership of your business data.

QuotaPartner includes AI-powered capabilities through Atlas that assist with recommendations, automation, document analysis, communications, workflow management, and business intelligence. AI-generated content is intended to support decision-making but may contain inaccuracies or incomplete information. Users remain responsible for reviewing, validating, approving, and accepting all recommendations, communications, and business decisions before taking action. AI-generated information should not be considered legal, financial, accounting, tax, or other professional advice.

Users may choose to connect third-party services such as Google Workspace, Gmail, Microsoft 365, QuickBooks Online, Stripe, Twilio, SignWell, and other supported providers. These integrations require your authorization and remain subject to the terms, privacy policies, and service conditions of their respective providers. OmniVentis Systems is not responsible for the availability, performance, or policies of third-party services.

You agree to use QuotaPartner only for lawful purposes and not to interfere with the security, integrity, or availability of the platform. You may not attempt unauthorized access to accounts or systems, upload malicious software, misuse the services, violate applicable laws, infringe upon the rights of others, or use the platform in any manner that could harm OmniVentis Systems, its customers, or third parties.

QuotaPartner, Atlas, the software, documentation, trademarks, branding, and all related intellectual property are owned by OmniVentis Systems or its licensors and are protected by applicable intellectual property laws. Except as expressly permitted in writing, you may not copy, modify, distribute, reverse engineer, create derivative works from, or otherwise exploit any portion of the platform.

While we strive to provide reliable, secure, and continuously available services, QuotaPartner is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. OmniVentis Systems does not guarantee uninterrupted service, error-free operation, or that all AI-generated recommendations will be accurate or suitable for every circumstance.

To the fullest extent permitted by applicable law, OmniVentis Systems shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, business interruption, loss of data, or loss of goodwill arising from or relating to the use of QuotaPartner or any third-party integrations, even if advised of the possibility of such damages.

OmniVentis Systems reserves the right to suspend or terminate access to QuotaPartner if these Terms are violated, if continued access creates security or legal risks, or as otherwise required by law. We may also modify, improve, or discontinue features of the platform from time to time. Continued use of QuotaPartner after changes to these Terms become effective constitutes acceptance of the revised Terms.

These Terms shall be governed by and interpreted in accordance with the laws of the State of California, without regard to its conflict of law principles. Your use of QuotaPartner is also subject to our Privacy Policy, which explains how we collect, use, protect, and process information.
