This Intellectual Property & Authorized Use Notice applies to QuotaPartner and related software, applications, websites, services, technology, documentation, interfaces, and systems developed, owned, or operated by OmniVentis Systems (“OmniVentis,” “we,” “us,” or “our”).

By accessing or using QuotaPartner or other OmniVentis Systems services, you acknowledge that the platform contains proprietary and confidential technology and agree to comply with the applicable Terms of Service and the restrictions described below.

1. Ownership of QuotaPartner and OmniVentis Technology

QuotaPartner and the technology underlying or associated with the service are proprietary to OmniVentis Systems and its applicable licensors.

Except for content or technology owned by third parties, OmniVentis retains all right, title, and interest in its software and proprietary technology, including applicable rights in:

software and source code;

application architecture and system design;

proprietary algorithms and computational methods;

artificial intelligence systems and orchestration;

proprietary prompts, instructions, agent configurations, and workflows;

automation systems and business-process implementations;

databases, schemas, data structures, and proprietary data models;

APIs and integration architecture;

user-interface designs and proprietary interaction patterns;

documentation and technical materials;

reports, templates, and proprietary methodologies;

trademarks, branding, graphics, and other creative assets;

inventions, improvements, discoveries, and trade secrets; and

other intellectual property embodied in or used to provide the service.

Access to QuotaPartner does not transfer ownership of OmniVentis intellectual property.

2. Limited Authorization to Access the Service

Access to QuotaPartner is provided solely for legitimate use of the service, authorized evaluation, integration testing, regulatory or platform verification, customer use, or another purpose expressly authorized by OmniVentis Systems.

Unless expressly permitted by OmniVentis in writing or required by applicable law, access does not grant a license or authorization to study, extract, reproduce, reconstruct, commercialize, or create a substitute for OmniVentis proprietary technology.

3. Prohibited Reverse Engineering and Reconstruction

To the maximum extent permitted by applicable law, users and other persons accessing the service may not attempt to reverse engineer, decompile, disassemble, decode, reconstruct, discover, derive, or otherwise determine non-public components or implementation details of QuotaPartner or other OmniVentis technology.

This restriction includes attempts to derive or reconstruct proprietary:

source code;

algorithms;

system architecture;

AI prompts or system instructions;

AI-agent orchestration;

workflows and automation logic;

database structures;

internal APIs;

integration methodologies;

scoring or decision systems;

proprietary business processes; or

other confidential or non-public technical information.

Nothing in this Notice restricts activities that applicable law expressly provides cannot lawfully be restricted by contract.

4. AI, Automated Systems, Scraping, and Extraction

Except where expressly authorized by OmniVentis Systems, QuotaPartner and its associated content, interfaces, outputs, documentation, and proprietary technology may not be accessed or systematically collected using automated means for the purpose of reconstructing, replicating, training, benchmarking, or developing a competing or substantially derivative implementation of OmniVentis proprietary technology.

Prohibited methods may include unauthorized:

automated scraping or crawling;

bots or autonomous agents;

systematic screen or interface capture;

automated interaction or interrogation;

bulk extraction;

automated API discovery;

model training or fine-tuning;

dataset generation intended to reproduce proprietary functionality; or

use of artificial intelligence systems to derive non-public implementation details.

This provision does not prohibit ordinary authorized use of QuotaPartner's AI functionality by legitimate users.

5. No Training or Replication Using Proprietary OmniVentis Materials

Except with prior written authorization from OmniVentis Systems, proprietary or confidential OmniVentis materials obtained through access to the service may not be used to train, fine-tune, evaluate, or improve an artificial intelligence or machine-learning system for the purpose of reconstructing, replicating, or developing a substitute for OmniVentis proprietary technology.

This restriction applies whether such activity is performed directly or through a third-party AI provider, model, agent, contractor, or automated service.

6. Competitive Replication

Access to QuotaPartner does not authorize any person or organization to use OmniVentis confidential information, trade secrets, or other protected proprietary materials to reproduce or develop a competing implementation of OmniVentis proprietary technology.

This provision is intended to protect OmniVentis intellectual property and confidential information. It does not claim ownership over general ideas, concepts, skills, knowledge, functionality, industry practices, or information that is publicly available or otherwise not legally protectable.

7. Confidential and Non-Public Information

Non-public technical, operational, security, architectural, product, or business information disclosed through specially authorized access to QuotaPartner may constitute confidential information or trade secrets.

Authorized evaluators, testers, integration partners, reviewers, and other recipients of such access may use non-public information only for the authorized purpose for which access was provided, subject to any applicable agreements and law.

8. Security Testing and Circumvention

Unless expressly authorized in writing, users may not:

bypass or attempt to bypass authentication or authorization controls;

access another user's or organization's data without authorization;

probe non-public infrastructure;

circumvent usage restrictions or security controls;

attempt to obtain source code, credentials, secrets, or internal configuration;

intentionally exploit vulnerabilities; or

interfere with the security, integrity, or availability of the service.

Authorized security research or testing must be conducted under written authorization or an applicable OmniVentis vulnerability-disclosure or security-testing program.

9. Third-Party Services and Intellectual Property

QuotaPartner may integrate with third-party platforms and services.

OmniVentis does not claim ownership of third-party intellectual property, software, APIs, trademarks, data, or services. Such materials remain subject to the rights and terms of their respective owners.

Similarly, access to third-party technology through QuotaPartner does not grant OmniVentis users rights beyond those authorized by the applicable third party.

10. User Data

This Notice does not transfer ownership of a customer's or user's data to OmniVentis Systems.

Handling of personal information, connected-account data, Google Workspace API data, and other user information is governed by our Privacy Policy, applicable agreements, and applicable law.

Where Google Workspace API data is involved, OmniVentis Systems' use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

11. Monitoring and Enforcement

OmniVentis may maintain security and audit records relating to use of the service as permitted by applicable law and our Privacy Policy.

We reserve the right to investigate suspected unauthorized access, abuse, security violations, intellectual-property infringement, or misuse of proprietary technology and may suspend or terminate access where permitted under the applicable Terms of Service.

OmniVentis may pursue available contractual, equitable, statutory, or other legal remedies when its intellectual property, confidential information, trade secrets, systems, or contractual rights are unlawfully misused.

12. No Implied License

Except for the limited rights expressly granted under the applicable Terms of Service or another written agreement with OmniVentis Systems, no license or other intellectual-property right is granted by implication, estoppel, access, inspection, evaluation, or otherwise.

13. Relationship to the Terms of Service

This Notice supplements the OmniVentis Systems Terms of Service and other agreements governing access to QuotaPartner.

Where a contractual agreement with OmniVentis contains additional confidentiality, intellectual-property, security, or acceptable-use obligations, those obligations remain applicable according to their terms.
